Reliance Consumer Products Ltd (RCPL), the FMCG arm of Reliance Industries, has acquired a majority stake in Udhaiyams Agro Foods Pvt. Ltd, a heritage nutrition and staples brand based in Tamil Nadu. Announced on 18 December 2025, this acquisition is a strategic step in Reliance’s plan to bring regional legacy food brands under its fold and expand its branded staples and nutrition portfolio nationally.
The deal was executed through a joint venture agreement, with RCPL holding approximately 76% of the company. Former promoters, S. Sudhakar and S. Dinakar, retain a minority stake and will continue to be involved in the business. Reports indicate that RCPL infused around ₹380 crore via preferential allotment to complete the acquisition.
Udhaiyams Agro Foods has been operating for over three decades and is a well-established regional player. The company produces a wide range of staple food and nutrition products, including pulses, refined sugar, edible oil, spices, idli batter, and other agro-based items. With strong brand recognition in Tamil Nadu and a wide distribution network, Udhaiyams represents a strategic addition to RCPL’s growing FMCG business, enhancing both reach and consumer trust.
The strategic rationale behind this acquisition is threefold. First, it allows RCPL to expand its FMCG portfolio, particularly in branded staples and nutrition products.
